MAC Tech CARE+ Vendor of Record Program

Air Compressor Service Agreement

Michigan Air Compressor Technologies, LLC (“MAC Tech”) offers the CARE+ Vendor of Record Program to establish a long-term service partnership focused on preventative maintenance, proactive planning, and priority support for compressed air systems.

CARE+ is a non-prepaid service agreement that designates MAC Tech as your preferred and primary service provider while allowing all labor, parts, and repairs to be billed as work is performed.

Vendor of Record Service Agreement

This Vendor of Record Service Agreement (“Agreement”) is entered into between Michigan Air Compressor Technologies, LLC, a Michigan limited liability company (“MAC Tech”), and the enrolling customer (“Customer”).

By enrolling in CARE+, Customer agrees to the following terms and conditions.

1. Purpose & Intent

The purpose of this Agreement is to establish MAC Tech as Customer’s preferred and primary service provider (“Vendor of Record”) for compressed air equipment, related systems, and associated components.

This Agreement is designed as a lightweight service relationship that enables proactive care, planning, and priority support without requiring prepayment or a customized annual maintenance contract.

The Agreement reflects a mutual intent to form a long-term service partnership built on preventative maintenance, OEM-aligned service practices, predictable scheduling, and operational continuity.

2. Scope of Agreement (Non-Prepaid)

This Agreement does not include prepaid labor, parts, or bundled annual services.

All labor, parts, and repairs will be billed as work is performed at MAC Tech’s standard rates in effect at the time of service, subject to the benefits outlined in this Agreement.

3. Vendor of Record Designation

Customer hereby designates MAC Tech as its Vendor of Record for:

  • Preventative maintenance

  • Repairs and break-fix service

  • Emergency service response

  • OEM and OEM-approved replacement parts

  • System evaluations and service recommendations

Customer agrees that MAC Tech will be the primary service provider for covered equipment during the term of this Agreement, except in cases where MAC Tech is unable to reasonably respond or mutually agrees otherwise.

4. Equipment Coverage

This Agreement applies to Customer’s compressed air equipment and related systems, including but not limited to:

  • Air compressors

  • Dryers

  • Filtration

  • Controls

  • Accessories

A detailed equipment list is not required for this Agreement and may be updated informally as systems change.

MAC Tech services most major brands, including but not limited to: Ingersoll Rand, Atlas Copco, Sullair, Saylor-Beall, FS-Curtis, Bobcat, Mi-T-M, and others.

5. Preventative Maintenance & Service Planning

Under this Agreement, MAC Tech will:

  • Maintain Customer equipment within MAC Tech service records

  • Recommend OEM-aligned preventative maintenance intervals

  • Proactively schedule service visits based on runtime, usage, or calendar intervals

  • Provide service reminders and planning support

Customer retains discretion to approve, defer, or decline recommended services.

6. Parts & Materials

  • MAC Tech will supply OEM or OEM-approved parts whenever available

  • Parts pricing follows MAC Tech’s current pricing structure

  • Reasonable efforts will be made to stock or pre-plan critical parts based on Customer equipment

This Agreement does not guarantee price locks. Customers may receive preferred pricing consideration when available.

7. Priority Service & Preferential Treatment

Customers under this Agreement receive:

  • Priority scheduling over non-agreement customers

  • Preferential response for emergency and break-fix service

  • Access to MAC Tech’s 24/7/365 service line

Response times are not guaranteed but are prioritized relative to non-agreement customers.

8. Billing & Payment Terms

  • Services are billed per visit, repair, or scope of work

  • Standard payment terms apply unless otherwise agreed in writing

  • No financing, prepaid discounts, or installment plans are included in this Agreement

9. Customer Responsibilities

Customer agrees to:

  • Provide reasonable access to equipment during scheduled visits

  • Maintain a safe working environment

  • Notify MAC Tech promptly of system issues

  • Operate equipment in accordance with manufacturer recommendations

10. Exclusions

This Agreement does not include:

  • Free or prepaid labor or parts

  • Guaranteed response times

  • Emergency rate waivers

  • Customized SLAs or service scopes

  • Energy audits, leak audits, or system optimization unless separately quoted

  • Damage due to misuse, vandalism, or natural disasters

  • Structural or non-operational component repairs

  • Software updates or system reconfigurations beyond maintenance scope

11. Term & Termination

  • Initial term: One (1) year from enrollment date

  • Automatically renews annually

  • Either party may terminate with thirty (30) days written notice

  • MAC Tech may terminate for non-payment or material breach

12. Liability & Limitation

MAC Tech’s liability under this Agreement is limited to the value of services performed.

MAC Tech shall not be liable for indirect, incidental, or consequential damages, including lost production, lost profits, or downtime.

Customer agrees to indemnify and hold harmless MAC Tech from claims arising from Customer’s non-compliance with this Agreement.

13. Relationship to Annual Service Agreements

CARE+ is not a substitute for MAC Tech’s prepaid Annual Service Agreements.

Customers may upgrade to an Annual Service Agreement at any time under separate pricing and terms.

14. Optional Services (Separately Quoted)

  • Energy Efficiency Audits (recommended every two years)

  • Compressed air leak detection and repair

  • Performance testing and diagnostics

  • System optimization and upgrade recommendations

15. Emergency Services (As Needed)

  • 24/7/365 emergency hotline

  • Target response time approximately within one (1) hour

  • Target on-site support within one (1) business day when feasible

  • All emergency services billed at standard rates unless otherwise agreed

16. Pricing Adjustments

Pricing may be adjusted based on:

  • Changes in service scope

  • Added equipment

  • Market conditions

  • U.S. Consumer Price Index adjustments

17. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Michigan.

18. Entire Agreement

This Agreement represents the entire understanding between the parties regarding Vendor of Record services and supersedes prior verbal discussions related to this scope.

Enrollment Confirmation

By enrolling in MAC Tech CARE+, Customer acknowledges they have read, understand, and agree to these Terms & Conditions.
